GENERAL PROVISIONS
1.1. These Terms and Conditions (hereinafter the “Terms”) are intended to ensure the rights and obligations of You (hereinafter the “Buyer”) and “Shop By Agnes”(hereinafter the “Seller”), which operates an online store and conducts sales activities throughout Europe. These Terms also define liability, procedures, and other provisions related to the purchase and sale of goods via the Seller’s online store.
1.2. Information about the Seller is available in the online store.
1.3. The Terms apply whenever the Buyer uses the online store in any manner: browsing products, placing orders, entering personal data, making payments, accepting deliveries, posting comments, or engaging with the Seller’s offerings in the store.
1.4. The Seller reserves the right to unilaterally change these Terms at any time. Updates will be published in the online store and will apply to all transactions made after their publication.
CONCLUSION OF THE PURCHASE AGREEMENT
2.1. Purchase agreements (hereinafter the “Agreement”) are concluded electronically. The Seller follows the relevant provisions of the Civil Code of the Republic of Lithuania related to distance contracts, as well as the Retail Trade Rules approved by the Government of Lithuania on June 11, 2001, Resolution No. 697.
2.2. The following entities may purchase from the Seller’s online store: individuals of legal capacity; minors aged 14 to 18 with parental or guardian consent, unless they independently manage their income; legal entities; and authorized representatives of the foregoing. By agreeing to these Terms, the Buyer confirms they have the legal right to make purchases.
2.3. The Agreement is deemed concluded when the Buyer has added items to the cart, entered the delivery address and other necessary information, selected the preferred payment method, agreed to the Terms, and clicked “Pay.” If the Buyer does not agree with the Terms, they must refrain from submitting the order.
2.4. Once the Agreement is concluded, the Seller sends an automatic confirmation email to the Buyer, containing the order number, list of purchased items, quantities, and prices. The email is sent to the address provided during the order process.
2.5. These Terms, along with the confirmation email, constitute an integral part of the Agreement between the Buyer and the Seller.
2.6. The Agreement remains in effect until all obligations of both parties are fulfilled or until it is terminated as described herein.
PRODUCTS AND PRICES
3.1. The characteristics of each product sold are specified in the product description provided in the online store. The Seller is not liable if the actual color, shape, or other parameters of the products do not match the representation on the Buyer’s screen due to display settings and/or technical characteristics of the device used.
3.2. The Seller reserves the right to modify the product selection in the online store at any time without prior notice to the Buyer.
3.3. The price of each product is indicated in euros (EUR) in the online store next to the corresponding item, in the Buyer’s shopping cart, and in the order confirmation email sent by the Seller. The Seller agrees to sell products at the prices valid at the moment the Buyer submits the order.
3.4. Product prices do not include delivery charges. The delivery cost is calculated at checkout based on the weight and dimensions of the order.
PAYMENT
4.1. The Buyer shall pay for the products and delivery using the electronic banking system.
4.2. When using banking services to pay for products and delivery, the Buyer may be subject to transaction fees and/or other charges imposed by their bank.
4.3. When paying by bank transfer, the Buyer must indicate the order number, as specified in the order confirmation email, in the “Payment purpose” field of the payment form. Failure to provide the correct order number may result in processing delays.
4.4. The Seller will begin fulfilling the order only after receiving full payment for the products and delivery. Payment is considered completed once the full amount is credited to the Seller’s bank account.
4.5. The Buyer must pay for the products and delivery no later than within 3 (three) business days following the conclusion of the purchase agreement.
4.6. The Seller is obligated to provide the Buyer with all necessary and accurate information required for payment. However, the Seller bears no responsibility for losses resulting from the improper provision of services by the Buyer’s bank, or from errors made by the Buyer during the payment process (e.g., incorrect account number, wrongly entered order number, etc.), or any consequences arising therefrom.
DELIVERY OF GOODS
5.1. Goods are delivered at the Buyer’s expense via parcel lockers or home courier, depending on the delivery options available in each country. Deliveries are carried out throughout the entire territory of Europe. Goods are delivered to the location (parcel locker or address) indicated by the Buyer during registration or when placing an order. If the Buyer chooses in-store pickup in the order form, they may collect the goods at a location specified by the Seller.
5.2. Delivery charges are calculated based on the weight and dimensions of the products.
5.3. In general, goods are delivered to the parcel locker specified by the Buyer within 5–9 business days (delivery times may vary depending on the destination country). The Buyer acknowledges that, in exceptional circumstances, delivery may be delayed due to unforeseen situations; however, goods will be delivered no later than within 30 (thirty) calendar days. In such cases, the Seller will immediately contact the Buyer to coordinate a new delivery timeline. The delivery period begins once the Seller has received full payment for the products and related shipping costs.
5.4. The Seller is not liable for any delay or failure to deliver goods if caused by the Buyer’s actions or circumstances beyond the Seller’s control but attributable to the Buyer.
5.5. If delivery is delayed by more than 10 (ten) business days for reasons not attributable to the Buyer, and the parties cannot agree on a revised delivery date or a replacement with similar products available in the online store, the Buyer has the right to withdraw from the Agreement. The Buyer must notify the Seller by email at info@shopbyahnes.com. In such a case, the Seller shall refund any advance payment (if made) within 14 (fourteen) calendar days of the Agreement cancellation. The refund will be issued to the same account from which payment was made.
5.6. Goods are delivered on business days, from Monday to Friday.
5.7. If the delivery and handover of goods fail due to the Buyer’s fault or circumstances attributable to the Buyer (e.g., failure to retrieve the goods from the parcel locker in time), the Seller will contact the Buyer to agree on a new delivery date that is convenient for both parties. The Seller may charge an additional delivery fee for repeated delivery attempts. If the Buyer again unjustifiably fails to accept the delivery, the Agreement is deemed canceled and the order annulled. The Buyer will be notified by email using the contact information provided during registration or in the order form. In such a case, the Seller shall refund the Buyer’s advance payment (if applicable) within 14 (fourteen) calendar days, deducting any delivery charges incurred. The refund will be sent to the account from which the original payment was made.
5.8. Upon collecting goods from a parcel locker, the Buyer (or their representative) must inspect the parcel for any visible damage (e.g., crushed, wet, torn packaging), and verify the product assortment, quantity, and quality. In case of damage or discrepancies in quantity or item types, the Buyer must notify the Seller by email at info@shopbyagnes.com. When collecting goods directly from the Seller, the Buyer (or their representative) must also check the condition of the parcel and the goods themselves. If damage or discrepancies are noticed, the Buyer must immediately return the goods to the Seller. In such a case, the Seller agrees to refund any advance payment made by the Buyer within 14 (fourteen) calendar days from the date of withdrawal from the Agreement.
FINAL PROVISIONS
6.1. The Seller reserves the right to temporarily or permanently suspend the operation of the online store without prior notice to the Buyer.
6.2. By submitting comments or recommendations, the Buyer confirms that the information provided is accurate and does not mislead, infringe on the rights of third parties, or violate applicable laws. The Buyer takes full responsibility for the content of submitted materials.
6.3. The Seller reserves the right to delete or edit Buyer-submitted comments if they are found to violate the conditions outlined in Clause 6.2.
6.4. The Buyer and the Seller agree that all information provided on the online store’s website shall be considered delivered in writing.
6.5. The Seller will send all notifications to the email address provided by the Buyer during registration or order placement.
6.6. The Buyer must send all inquiries, notifications, complaints, or similar communications to the Seller’s email address: info@shopbyagnes.com
6.7. These Terms do not restrict the Buyer’s rights under the laws of the Republic of Lithuania and may not be interpreted in any way that limits consumer rights established by legal acts. The Agreement is governed by Lithuanian law. In case of a dispute, the Buyer has the right to apply to the State Consumer Rights Protection Authority, address: Vilniaus g. 25, 01402 Vilnius, www.vvtat.lt
6.8. All disputes between the Buyer and Seller arising from or related to the Agreement shall be resolved through negotiation. If the parties fail to reach an agreement, the dispute will be resolved in accordance with the procedures established by the laws of the Republic of Lithuania.
6.9. The Seller reserves the right to amend or supplement these Terms at any time in accordance with applicable laws. The Buyer must accept the Terms anew each time they make a purchase in the online store.
